1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and LinkIntel, Inc. (“LinkIntel,” “we,” “us,” or “our”) governing your access to and use of the LinkIntel platform, including our website at linkintel.ai and all related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

LinkIntel is an AI-powered link building and outreach platform that provides:

• Backlink Discovery: Automated discovery of potential backlink opportunities based on your specified criteria
• Domain Analysis: Assessment and scoring of domains based on metrics such as Domain Rating (DR), traffic, spam score, and content relevance
• AI-Powered Outreach: Generation and sending of personalized outreach emails on your behalf
• Automated Negotiation: AI-driven price negotiation for link placements
• Reply Management: Reading and classification of email responses

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information, including your full name and email address. You may also sign up using Google OAuth.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Email Configuration and Outreach

4.1 SMTP/IMAP Configuration

To use our outreach features, you may provide SMTP and IMAP credentials for your email account. By providing these credentials, you:

• Authorize LinkIntel to send emails on your behalf
• Authorize LinkIntel to read email replies related to outreach campaigns
• Confirm that you have the authority to use the email account for these purposes

4.2 Email Sending Responsibility

You are solely responsible for:

• Ensuring compliance with all applicable email marketing and anti-spam laws (including CAN-SPAM, GDPR, and other regulations)
• The content of outreach emails sent through the Service
• Obtaining any necessary consents before initiating outreach
• Maintaining the reputation of your email domain

4.3 Sending Limits

We implement sending limits to protect email deliverability and domain reputation. You agree not to circumvent these limits or engage in practices that could harm email deliverability.

5. Subscription and Payment

5.1 Subscription Plans

LinkIntel offers subscription plans with varying features and credit allocations. Current plans include Intro, Growth, and Pro tiers, each with specific credit limits and project allowances.

5.2 Trial Period

We may offer a trial period for new users (e.g., a paid 7-day trial). During the trial, you will have access to Service features with allocated trial credits. At the end of the trial period, your subscription will automatically convert to a paid subscription unless cancelled.

5.3 Payment Processing

All payments are processed by Stripe, our payment processor. Stripe handles payment processing, invoicing, and compliance. By making a purchase, you also agree to Stripe's Services Agreement.

5.4 Billing

Subscriptions are billed on a recurring basis (monthly or annually) depending on the plan selected. Billing occurs at the start of each billing period.

5.5 Price Changes

We reserve the right to modify subscription prices. Any price changes will be communicated in advance and will take effect at the start of your next billing period.

6. Credits System

6.1 Credit Allocation

Your subscription includes a monthly allocation of credits that are consumed when using various Service features (e.g., sending outreach emails, analyzing domains, running competitor analyses).

6.2 Credit Consumption

Different actions consume different amounts of credits. Credit costs for each action are displayed in the Service interface and on our pricing page.

6.3 Credit Rollover

Unused credits may roll over to the next billing period, subject to the terms of your subscription plan.

6.4 Non-Refundable Credits

7. Cancellation and Refund Policy

7.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will retain access to your data and unused credits until the billing period ends
• Your account will not be charged for subsequent billing periods

7.2 Refund Eligibility

To request a refund, contact us at [email protected] with your account email and reason for the refund request.

Approved refunds are processed through Stripe and typically appear within 5-10 business days, depending on your payment method and financial institution.

8. Acceptable Use Policy

You agree not to use the Service to:

• Send spam, unsolicited commercial emails, or engage in email abuse
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or related systems
• Engage in fraudulent, deceptive, or misleading practices
• Harass, abuse, or harm others
• Circumvent or manipulate usage limits or billing
• Resell or redistribute the Service without authorization
• Use the Service for any illegal purposes

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy.

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is owned by LinkIntel and protected by copyright, trademark, and other intellectual property laws.

9.2 Your Content

You retain ownership of any content you submit through the Service. By submitting content, you grant us a limited license to use, process, and store that content solely for providing the Service.

9.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you.

10. Disclaimers

10.1 Service Provided “As Is”

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee of Results

We do not guarantee any specific results from using the Service, including but not limited to the number or quality of backlinks obtained, email deliverability rates, response rates, or negotiation outcomes.

10.3 Third-Party Data

Domain metrics, traffic estimates, and other third-party data provided through the Service are for informational purposes only. We do not guarantee their accuracy or completeness.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINKINTEL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless LinkIntel and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Content you submit or transmit through the Service
• Your outreach activities conducted through the Service

13. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on the Service and updating the “Last updated” date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LinkIntel, Inc. is incorporated, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiations. If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with applicable arbitration rules.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LinkIntel regarding the Service and supersede all prior agreements and understandings.
